Plain-language summary: You buy it once and use it forever on the number of seats covered by your tier. You cannot resell it, redistribute it, or pass it off as your own product. The software runs offline; we are not liable for outcomes in your incident management processes.

1. Agreement

This End-User License Agreement ("Agreement") is a legal agreement between you ("Licensee") and ProcessRaven ("Licensor", "ProcessRaven", "we", "us", "our"), the publisher of the ProcessRaven Incident Management software, including all associated HTML files, documentation, and content (collectively, the "Software"). ProcessRaven operates from the United States.

By downloading, opening, or using the Software, you agree to be bound by the terms of this Agreement. If you do not agree, do not download or use the Software.

2. Definitions

  • "Software" refers to the ProcessRaven Incident Management HTML file(s) and all embedded content.
  • "Individual License" refers to the Professional tier purchased by a single natural person.
  • "Team/Enterprise License" refers to the Team or Enterprise tier covering multiple named users within a single organisation.
  • "Organisation" means a single legal entity (company, charity, or public body) at a single primary location.
  • "Authorised User" means a person permitted to use the Software under the applicable license tier.

3. Free Edition

The Free Edition of ProcessRaven Incident Management is made available at no charge for evaluation and personal use. By using the Free Edition, you agree that:

  • You may use the Free Edition for personal evaluation and non-commercial internal use.
  • You may not redistribute, repackage, or resell the Free Edition.
  • You may not remove or obscure any branding, upgrade prompts, or attribution notices embedded in the Free Edition.
  • All other restrictions in this Agreement that apply to paid tiers also apply to the Free Edition where not superseded above.

Individual / Professional License

4. Individual license: grant of use

Subject to the terms of this Agreement and upon payment of the applicable one-time license fee, Licensor grants you a personal, non-exclusive, non-transferable, perpetual license to use the Software on a single device, or on multiple devices owned and used exclusively by you as a single individual.

5. Individual license: permitted uses

  • Install and run the Software on any device you personally own or control.
  • Use the Software for your own internal business processes and incident management workflows.
  • Create printed or PDF outputs from the Software for use in your own work.
  • Retain and use the Software indefinitely following a one-time purchase.
  • Use the Software offline without any ongoing connection to Licensor's servers.

6. Individual license: restrictions

The Individual License does not permit you to:

  • Share, distribute, or make the Software available to any other person or organisation, whether inside or outside your employer.
  • Use the Software on behalf of, or to provide services to, clients or third parties without obtaining an appropriate license tier.
  • Sublicense, resell, rent, lease, or lend the Software to any third party.
  • Modify, adapt, decompile, reverse-engineer, or create derivative works from the Software.
  • Remove, alter, or obscure any copyright notices, branding, or license terms contained in the Software.
  • Use the Software in a manner that violates any applicable law or regulation.

Team / Enterprise License

7. Team/Enterprise license: grant of use

Subject to the terms of this Agreement and upon payment of the applicable one-time license fee, Licensor grants your Organisation a non-exclusive, non-transferable, perpetual license to deploy and use the Software across the number of Authorised Users specified at the time of purchase, within a single Organisation.

Team licenses cover up to the seat count purchased. Enterprise licenses cover unlimited users within the purchasing Organisation. Both tiers are scoped to a single legal entity; use across subsidiaries, affiliates, or related entities requires a separate license.

8. Team/Enterprise license: permitted uses

  • Deploy the Software to all Authorised Users within your Organisation.
  • Host the Software on internal file shares, intranets, or shared drives accessible to Authorised Users.
  • Use the Software to support internal incident management operations at any scale.
  • Generate printed and PDF outputs for use in internal documentation, audits, and compliance records.
  • Customise the Software for internal use (customization agreement customers only, subject to separate agreement).

9. Team/Enterprise license: restrictions

The Team/Enterprise License does not permit your Organisation to:

  • Distribute or make the Software available to users outside the purchasing Organisation, including clients, customers, or contractors not engaged on behalf of the Organisation.
  • Sublicense, resell, or offer the Software as a standalone product or service.
  • Use the Software across multiple legal entities without a separate license for each.
  • Exceed the seat count purchased under a Team license without upgrading to the appropriate tier.
  • Remove, alter, or obscure any copyright, branding, or license terms embedded in the Software.

10. Ownership and intellectual property

The Software is licensed, not sold. ProcessRaven.tech retains all right, title, and interest in and to the Software, including all intellectual property rights. This Agreement does not transfer any ownership rights to you.

All ITIL-aligned content, BPMN diagrams, SOPs, and attestation templates contained in the Software are the proprietary work of ProcessRaven.tech. ITIL is a registered trademark of AXELOS Limited, used under reference only.

11. No warranty

THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

ProcessRaven.tech does not warrant that the Software will meet your specific requirements, that operation will be uninterrupted or error-free, or that all SOPs and process descriptions reflect the most current version of any framework, standard, or regulation. You assume the entire risk as to the quality and performance of the Software.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PROCESSRAVEN.TECH BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, BUSINESS, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR YOUR USE OF THE SOFTWARE.

ProcessRaven.tech's total aggregate liability for any claim arising out of this Agreement shall not exceed the amount you paid for the Software in the twelve months preceding the claim.

13. Termination

This license is effective until terminated. It terminates automatically if you fail to comply with any material term of this Agreement. Upon termination, you must cease all use of the Software and destroy all copies in your possession.

Licensor reserves the right to terminate this Agreement with written notice if you materially breach its terms and fail to remedy the breach within 30 days of notice.

14. Refund policy

We offer a 14-day money-back guarantee on all paid licenses (Professional and Enterprise). If ProcessRaven Incident Management is not right for you, you may request a full refund within 14 calendar days of your original purchase date, for any reason.

How to request a refund. Email info@processraven.tech from the address used at purchase. Include your order reference, the tier purchased, and (optionally) a short note on why it was not a fit. We confirm receipt within one business day.

How refunds are processed. Approved refunds are returned to the original payment method within 10 business days of approval. Card networks and payment providers may add a few additional days before funds appear in your account. Where a purchase was made by invoice or purchase order, refunds are issued by the same method, net of any non-refundable payment processing fees charged to us by the payment provider.

After a refund. Your license is revoked on refund approval. You agree to delete all downloaded copies of the Software from your systems and to stop using it. Continued use of the Software after a refund is a material breach of this Agreement.

Exclusions. This refund guarantee does not apply to:

  • Purchases older than 14 calendar days from the original purchase date.
  • Custom development, scoped consulting, or paid customization engagements once work has started. These are refundable only for the portion of hours not yet delivered, at our discretion.
  • The Free Edition, which has no purchase price and is not eligible for refund.

This refund policy sits alongside, and does not limit, any mandatory consumer-protection rights you have under the laws of your jurisdiction.

15. Governing law

This Agreement is governed by the laws of the State of West Virginia and, where applicable, the federal laws of the United States of America, without regard to conflict of law principles. Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the state and federal courts located in West Virginia, unless otherwise required by mandatory consumer protection law in your jurisdiction.
